These Terms and Conditions ("Agreement") govern the participation of entities or individuals ("Licensee") in Voxr AI Corp ("Voxr") Affiliate Program.

Effective Date: The date of acceptance or electronic signature by the Licensee.

1. Purpose

This Exhibit governs the rights and obligations of Licensees participating in the Voxr Affiliate Program. It supplements and is incorporated by reference into the Voxr Partner Programs General Terms of Service (“General ToS”). In the event of a conflict, the terms of this Exhibit shall control with respect to Affiliate Program participation.

2. Eligibility

1. Participation is limited to active Voxr business-tier customers, Agencies, or Resellers in good standing.
2. Affiliates are independent contractors and shall not represent themselves as agents, employees, or legal representatives of Voxr.
3. Affiliates are not eligible to participate in the Referral Program under Exhibit A.
4. The date on which the Licensee executes or accepts this Agreement electronically.

3. Commission Structure

1. Affiliates shall earn recurring commissions on qualifying subscription renewals for a period not to exceed fifteen (15) months from the initial customer registration date.
2. Standard commission rate: 15% recurring commission.
3. Tiered levels may apply, subject to cumulative revenue performance thresholds:
   
   1. Pace Setter: 15% commission.
   2. Sprint Pro: 20% commission upon achieving $100,000 cumulative annual referred revenue.
   3. Lap Master: 25% commission upon achieving $250,000 cumulative annual referred revenue.
   4. Finishline Partner: 30% commission upon achieving $1M cumulative annual referred revenue and Voxr’s express written approval.
4. Affiliates may earn a 5% override commission on commissions earned by other affiliates they directly refer, subject to Voxr’s approval and compliance requirements.

4. Tracking and Attribution

1. Affiliate referrals will be tracked through Voxr’s designated affiliate platform using a hybrid attribution model (70% last-click, 30% first-click).
2. Voxr reserves the right to review and adjust attribution determinations in cases of fraud, abuse, or technical irregularities.

5. Payment Terms

1. Commission payments are processed monthly on or about the 15th of each calendar month for verified earnings from the prior month.
2. A thirty (30) day verification and reconciliation period applies to all transactions before commissions are released.
3. Minimum payout threshold: $50.
4. Payment methods: ACH or PayPal (subject to availability).
5. Affiliates are responsible for submitting accurate and complete payment and tax information.
6. Agreement remains in effect for the duration of the Licensee’s participation in any Voxr program.

6. Client Attribution and Responsibilities

1. Affiliates do not acquire any ownership rights in Voxr customer accounts, data, or subscriptions.
2. Subject to Voxr’s rights under the General ToS, referred customers shall remain attributed to the Affiliate for commission purposes for up to fifteen (15) months, provided such customers remain active Voxr subscribers during that period.
3. Voxr retains sole discretion to reassign, suspend, or terminate customer relationships in accordance with the General ToS, including in cases of Material Breach or misuse of services.

7. Compliance Obligations

1. Affiliates shall comply with all applicable federal, state, and international laws and regulations, including but not limited to TCPA, CAN-SPAM, GDPR, and CCPA.
2. Affiliates shall not engage in fraudulent, misleading, or deceptive marketing practices, and all promotional materials must be accurate, truthful, and pre-approved by Voxr where required.
3. Voxr reserves the right to audit affiliate activities and withhold or revoke commissions in cases of suspected non-compliance.

8. Term and Termination

1. Affiliate participation shall continue until terminated by either Party in accordance with Section 5 of the General ToS.
2. Voxr may terminate Affiliate participation immediately for Material Breach, fraud, or misuse of services.
3. Upon termination, all outstanding commissions subject to verification shall be paid in accordance with this Exhibit, except where withheld due to breach.

9. Miscellaneous

1. Voxr All capitalized terms not defined in this Exhibit shall have the meanings assigned in the General ToS.
2. Voxr may amend the Affiliate Program Terms in accordance with Section 17 of the General ToS. Continued participation following notice of amendment shall constitute acceptance of the revised terms.

By executing this Agreement or completing signing up to Voxr, the Licensee acknowledges that it has read, understood, and agrees to be bound by the terms set forth herein and in the applicable program exhibits.
